This Proxy Statement and notice is furnished in connection with the Special Meeting of the Board of Trustees of the Edward Hopper Landmark Preservation Foundation, which will be held at the Edward Hopper House located at 82 N. Broadway, Nyack, New York 10960 on Tuesday May 10, 2016 at 7:00 pm, for the following purpose:
1. To amend the current by-laws.
Record Date
January 31, 2016 is the record date for this meeting. (the “Record Date”).
Votes Required
With respect to Proposal #1, a member may vote “For,” “Against,” or Abstain.” Approval of Proposal #1 requires the affirmative vote of a majority of the votes cast by the members present in person or represented by proxy or electronically, and entitled to vote. If no vote is specified with respect to Proposal #1, the vote will be counted as a vote “For” such proposal.
Who May Vote
If you are, as of the Record Date, a member of the Edward Hopper Landmark Preservation Foundation you are entitled to vote for the proposal.
How to Vote
The Board of Trustees unanimously recommends that members vote “For” the amended by-laws.
